ACENTELİK İLİŞKİSİNDE REKABET YASAĞI ANLAŞMASI ÜZERİNE BİR DEĞERLENDİRME

Abstract
Acentelik sözleşmesi sonrası rekabet yasağı anlaşması, 6102 sayılı Türk Ticaret Kanunu m. 123’te düzenlenmiştir. Acente, rekabet yasağı anlaşması ile acentelik sözleşmesinin bitiminden itibaren en çok iki yıl süreyle müvekkil ile belirli bölge veya faaliyet alanında rekabet etmemeyi uygun bir tazminat karşılığında üstlenebilir. Bu kapsamda çalışmamızda, öncelikle acentelik sözleşmesi sonrası rekabet yasağı anlaşmasının esasına ilişkin şartlar incelenmiş; akabinde anlaşmanın şekil şartlarına yer verilmiştir. Rekabet yasağı anlaşması ile tarafların üstlendikleri borçlar ele alınmıştır. Müvekkilin ödemesi gereken tazminat ve tazminatın şartları değerlendirilmiştir. Son olarak, rekabet yasağı anlaşmasının sona ermesi ve anlaşmaya aykırı davranışın sonuçlarına değinilmiştir.

Abstract
The post-termination non-competition agreement under agency contracts is regulated in Article 123 of the Turkish Commercial Code No. 6102. Through such an agreement, the agent may undertake, in return for reasonable compensation, not to compete with the principal within a specified territory or field of activity for a period of up to two years following the termination of the agency contract. In this context, the present study first examines the substantive conditions governing the validity of post-agency non-competition agreements, followed by an analysis of their formal requirements. The obligations assumed by both parties under the non-competition agreement are then discussed, with particular attention to the compensation payable by the principal and the conditions attached to such payment. Finally, the study addresses the termination of the non-competition agreement and the legal consequences arising from any breach of its provisions.
